Terms & Conditions

1. Who you are contracting with

These Terms govern consultancy, training, certification support and supporting engagement materials supplied by Compliance Hub (together, the "Services"). The Services are provided by Compliance Hub Ltd, a company registered in Ireland ("Compliance Hub", "we", "us"). By engaging us or using materials supplied as part of an engagement, you ("Customer") agree to these Terms.

2. The Services

Compliance Hub provides business development and RFP enablement, project-managed ISO implementation, organisational training, certification support and ongoing advisory. Where agreed, clients may also receive supporting templates, records and engagement materials.

3. Acceptable use

You must not, and must not allow your users to:

  • Use the Service for any unlawful, fraudulent, deceptive, or harassing purpose;
  • Send spam or upload content that infringes any third party's intellectual property rights;
  • Probe, scan, scrape, or attempt to circumvent any security or rate-limiting mechanism;
  • Introduce malware, viruses, or other harmful code;
  • Copy, resell or distribute our proprietary materials outside the agreed engagement.

4. Secure access

Where secure access is provided for engagement records or materials, you are responsible for protecting your credentials and notifying us immediately of any unauthorised access.

5. Intellectual property

Compliance Hub Ltd retains all rights, title and interest in and to the Service, including its methodology, training materials, documentation and branding. Customer retains all rights to its own data and content supplied during the engagement. We grant you a limited, non-exclusive, non-transferable right to use our materials within the limits of the scope of the agreed engagement.

6. Payment, billing & refunds

Card payments are processed on our behalf by Stripe Payments Europe, Ltd. Compliance Hub Ltd is the seller of record and is responsible for customer service, invoicing and returns. Engagements of €700 or more are invoiced directly by Compliance Hub Ltd and settled by SEPA bank transfer, payable within 14 days of the invoice date unless otherwise agreed in writing. Irish VAT is applied where applicable based on your billing address and VAT status. Fees, deposits and payment stages are set out in the relevant proposal, booking page or invoice. 7. Customer data & privacy

Compliance Hub Ltd processes personal data in accordance with our Privacy Notice and (where applicable) our Data Processing Agreement. Customer grants Compliance Hub Ltd a limited license to host and process Customer content solely to deliver the agreed Services.

8. Service delivery

We deliver the Services with reasonable care and skill. Timelines and outcomes may depend on timely access to Customer personnel, information and decisions. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

9. Suspension & termination

We may suspend or terminate access for: material breach of these Terms, non-payment, a credible security or fraud risk, or repeated or serious misuse of our materials. On termination, Customer data will be handled in line with our Privacy Notice and DPA.

10. Liability

To the maximum extent permitted by law, Compliance Hub Ltd's aggregate liability under these Terms shall not exceed the fees paid by Customer in the 12 months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence where exclusion is prohibited by law.

11. Governing law & venue

These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute arising out of or in connection with the Services or these Terms.

12. Changes

We may update these Terms from time to time. Material changes will be communicated to the email address on file. Continued use of the Services after changes take effect constitutes acceptance.
